Overview

Halloran & Sage assists manufacturers in building their businesses and in protecting their businesses across the global economy. We provide local and international manufacturing companies with legal counsel in the full range of traditional business matters. These include capital formation, including venture capital and other forms of equity financing; business organizations; securities law compliance; employment matters; contract negotiating and drafting; and commercial transactions. We regularly represent manufacturers in business transactions such as mergers and acquisitions, joint ventures, intellectual property, licensing, franchise and distribution, strategic alliances and other partnering arrangements.

Our firm is nationally recognized for its representation of manufacturers in products liability and toxic tort matters. Our expertise in this field enables us to advise manufacturers on how best to protect their businesses against liability claims. If, however, a company faces a lawsuit, our firm has achieved distinction among manufacturers through a track record of successful defense through all stages of litigation. We represent manufacturers, product designers, assemblers, distributors and sellers of every description in cases involving a broad spectrum of products. The philosophy guiding our work in these cases is that the best defense requires a proactive approach. That means that we do not merely react to a lawsuit, but immediately take control of it, focusing on the approach most likely to be successful in obtaining a cost-effective resolution.

Our litigation work on behalf of manufacturers spans a full range of corporate, commercial, real estate, intellectual property and employment matters. For example, we successfully represented a national clothing manufacturer in an $8 million action against a textile supplier in a case that involved issues of business interference and infringement of intellectual property rights. In another case, we represented a medical products manufacturer sued by a competitor for patent infringement and trade secret misappropriation. We counterclaimed for patent invalidity and succeeded in allowing our client to continue to market its product.

Another key area in which we represent manufacturers is environmental compliance and land use. Independent surveys rank our environmental and land-use attorneys among the best in the region. Our approach is to identify environmental risks before they become barriers. We guide clients through the process of obtaining permits and approvals, paving the way for them to develop or expand industrial property and manufacturing facilities. For matters involving regulatory compliance or site cleanup, we provide counsel not only in what the law requires, but also in what it means to your business.
